NOTICE IS HEREBY GIVEN that the Louisiana Public Facilities Authority (the “Authority”) will hold a public hearing on April 10, 2025 at eleven o’clock (11:00) a.m. at the offices of the Authority, 2237 South Acadian Thruway, Suite 650, Baton Rouge, Louisiana, to hear any comments or objections to the issuance, sale and delivery of the captioned issue of revenue and refunding revenue bonds, in one or more series (the “Bonds”).
The Bonds are proposed to be issued by the Authority in one or more series pursuant to a plan of finance in an aggregate principal amount not exceeding One Billion Thirty-Five Million Dollars ($1,035,000,000). The proceeds of the Bonds are to be loaned by the Authority to Ochsner Clinic Foundation, a Louisiana nonprofit corporation exempt from federal income taxation under Section 501(a) of the Internal Revenue Code of 1986, as amended (the “Code”), as an organization described under Section 501(c)(3) of the Code (the “Foundation”). The Foundation will use the proceeds of the Bonds for the purpose of (i) paying or reimbursing the Foundation for the cost of acquiring, constructing, equipping, maintaining, installing, and/or upgrading certain improvements to Ochsner Medical Center and other facilities listed in Exhibit A, including an inpatient children’s tower, a neuroscience clinical building, the parking garage and the Gayle and Tom Benson Cancer Center, Ochsner Elmwood Hospital, Ochsner Medical Center Baton Rouge, Ochsner Medical Center Kenner, Ochsner Clinic Covington, Lafayette General Medical Center, and/or paying or reimbursing the Foundation for said costs and the cost of acquiring, constructing, equipping, maintaining, installing and/or upgrading health care and related facilities (including without limitation hospital, clinic, outpatient and medical office facilities) in the State, including the Parishes of Acadia, Ascension, Avoyelles, Bossier, Caddo, Calcasieu, East Baton Rouge, Evangeline, Iberia, Iberville, Jefferson, Jefferson Davis, Lafayette, Lafourche, Livingston, Orleans, Ouchita, Plaquemines, St. Bernard, St. Charles, St. James, St. John the Baptist, St. Landry, St. Martin, St. Mary, St. Tammany, Tangipahoa, Terrebonne, Washington and/or Vermilion (collectively, the “Project”) (not more than $800,000,000 of Bond proceeds will be expended at any one of the Project facilities listed in Exhibit A hereto), (ii) refunding the Authority’s Revenue Bonds (Ochsner Clinic Foundation Project) Series 2020B (the “Series 2020B Bonds) (the maximum amount of Bond proceeds to be expended for purposes of refunding the Series 2020B Bonds is not to exceed $110,000,000), the Authority’s Refunding Revenue Bonds (Ochsner Clinic Foundation Project) Series 2016 (the “Series 2016 Bonds”) (the maximum amount of Bond proceeds to be expended for purposes of refunding the Series 2016 Bonds is not to exceed $200,000,000), and the Authority’s Refunding Revenue Bonds (Ochsner Clinic Foundation Project) Series 2015 (the “Series 2015 Bonds”) (the maximum amount of Bond proceeds to be expended for purposes of refunding the Series 2015 Bonds is not to exceed $100,000,000), (iii) paying the costs of issuance of the Bonds.
The initial and exclusive owner, operator and manager of the foregoing facilities is the Foundation or an affiliate thereof.
The proceeds of the Series 2020B Bonds were loaned by the Authority to the Foundation for the purpose of (i) paying or reimbursing the Foundation for the cost of acquiring, constructing, equipping, maintaining, installing, and/or upgrading certain improvements to Ochsner Medical Center located at 1516 Jefferson Highway Jefferson, LA 70121, including the parking garage and the Gayle and Tom Benson Cancer Center located at 1514 Jefferson Highway Jefferson, LA 70121, Ochsner Elmwood Hospital located at 1221 S. Clearview Parkway Jefferson, LA 70121, Ochsner Medical Center Baton Rouge located at 17000 Medical Center Blvd. Baton Rouge, LA 70816, Ochsner Medical Center Kenner located at 180 West Esplanade Avenue Kenner, LA 70065, Ochsner Clinic Covington located at 1000 Ochsner Blvd., LA 70433, Lafayette General Medical Center located at 1214 Coolidge Street Lafayette LA 70503, and/or paying or reimbursing the Foundation for the cost of acquiring, constructing, equipping, maintaining, installing and/or upgrading health care and related facilities listed in Exhibit B (including without limitation hospital, clinic, outpatient and medical office facilities) in the State of Louisiana, including the Parishes of Acadia, Ascension, Avoyelles, East Baton Rouge, Evangeline, Iberia, Iberville, Jefferson, Jefferson Davis, Lafayette, Livingston, Orleans, Plaquemines, St. James, St. John the Baptist, St. Landry, St. Martin, St. Mary, St. Tammany, Tangipahoa and/or Vermilion, (ii) the creation or maintenance of a debt service reserve fund in connection with the Series 2020B Bonds and (iii) paying the costs of issuance of the Series 2020B Bonds.
The proceeds of the Series 2015 Bonds were loaned by the Authority to the Foundation for the purpose of (i) refunding all or a portion of the Authority’s outstanding Revenue Bonds (Ochsner Clinic Foundation Project) Series 2007A (the “Series 2007A Bonds”) and the Authority’s outstanding Revenue Bonds (Ochsner Community Hospitals Project) Series 2007B (the “Series 2007B Bonds”) and (ii) paying costs of issuance of the Series 2015 Bonds.
The proceeds of the Series 2016 Bonds were loaned by the Authority to the Foundation for the purpose of (i) refunding all or a portion of the Authority’s outstanding Revenue Bonds (Ochsner Clinic Foundation Project) Series 2011 (the “Series 2011 Bonds”) and (ii) paying costs of issuance of the Series 2016 Bonds.
The Series 2007A Bonds and the Series 2007B Bonds were issued for the purpose of (i) financing the acquisition, construction, installation, renovation, remodeling and repair of certain hospital, medical and health care facilities, improvements and equipment and furnishings therefor at the medical facilities of the Foundation located on Exhibit C hereto, including, without limitation, the acquisition, renovation and construction of improvements to (a) Ochsner Medical Center Kenner Complex, a five-story, 252,000 sq. ft. building and related facilities located at 180 West Esplanade Avenue, Kenner, LA 70065, and (b) Ochsner Medical Center Westbank Complex, a four-story, 238,000 sq. ft. building and related facilities located at 2500 Belle Chase Highway, Gretna, LA 70056, and (c) Ochsner Baptist Medical Center Complex, located at 2700 Napoleon Avenue, consisting of a hospital building with two wings (the six-story Clara Wing and the eight-story Napoleon Wing) and related facilities, bounded generally by Napoleon Avenue on the East, Willow Street on the North, Cadiz Street on the West and South Robertson Street on the South, New Orleans, LA 70115, (ii) funding a debt service reserve fund, and (iii) paying the costs of issuance of the Series 2007A Bonds and the Series 2007B Bonds.
The Series 2011 Bonds were issued for the purpose of (i) financing or refinancing (a) the renovation, construction and outfitting of five new operating rooms, bringing the total number of operating rooms from 30 to 35, (b) Phase II of the Tom and Gayle Benson cancer center to add 22 chemo beds and the relocation of the Hematology/Oncology and other subspecialties to the center, (c) the renovation, construction and equipping of 76,750 square feet of clinical space for the relocation of 36 internal medicine physicians to the north campus, (d) the renovation, construction and outfitting of 51,150 square feet on the north campus to be used as medical school facilities in conjunction with the Foundation’s partnership with the University of Queensland School of Medicine and Research, (e) the construction of three new floors of the critical care tower that would add approximately 100,000 square feet and approximately 102 hospital beds, all projects listed in (a), (b), (c), (d) and (e) above being located at the main campus of the Foundation located at 1514 Jefferson Hwy., in Jefferson Parish, Louisiana, and (f) the renovation, construction, expansion and equipping of other facilities of the Foundation located on Exhibit D hereto, (ii) establishing a debt service reserve fund, and (iii) paying the costs of issuance of the Series 2011 Bonds.
Ms. Stacye Bradford, Executive Assistant, Bond Financing Coordinator of the Authority, will conduct the public hearing for the purpose of receiving comments on and hearing any objections (verbal or written) to the proposed issuance of the Bonds and the associated plan of finance. All interested parties are invited to attend such public hearing to express their views.
Persons who intend to appear at the hearing and express their view are invited to contact Ms. Bradford at the Authority’s offices, either in writing or by telephone (225) 923-0020, in advance of the hearing. Any interested persons unable to attend the hearing may submit their views in writing to Ms. Bradford prior to the date scheduled for the hearing. The location and time of the hearing may be changed or an additional hearing will be scheduled if requested to do so in written requests submitted to Ms. Bradford prior to the aforementioned date of the hearing by a significant number of interested persons.
The Bonds will be secured solely by payments made by the Foundation, will not be payable from any other revenues of the Authority or the State and will not constitute an indebtedness of the Authority or the State, within the meaning of any constitutional or statutory limitation of indebtedness.
This notice is published and the aforementioned public hearing is to be held in satisfaction of the requirements of Section 147(f) of the Internal Revenue Code of 1986, as amended, regarding the public approval prerequisite to the exclusion from gross income for federal income tax purposes of the interest on the Bonds.
